MYNOTARYCLASS.COM WITH USA SIGNINGS AGREES TO FIND NOTARY ASSIGNMENTS ON BEHALF OF THE NOTARY APPLICANT

MYNOTARYCLASS.COM is responsible for providing the education needed to the Notary Applicant, so that the applicant may pass the California Notary Exam.

MYNOTARYCLASS.COM will provide all supplies for the Notary Applicant to notarize documents once he/she is an official notary. These supplies include: Self Inking Notary Seal, Notary Journal, $15,000 4 yr. Notary Surety Bond, Acknowledgment & Jurat Certificates PDFs, USPS Priority Mail Shipping Included.

USASIGNINGS.COM will provide the newly commissioned notary with notary assignments. USASIGNINGS.COM will provide a minimum of 1 signing a week to the newly commissioned notary in the amount of $50.00. At which point USASIGNINGS will take a 30% commission from the $50.00, which equals $35.00 for the newly commissioned notary. The newly commissioned Notary is guaranteed at least a 1 $50.00 notary assignment of which he/she takes $35.00, per week. Typical assignment fees rate anywhere between $50.00-$200.00 before USASIGNINGS.COM’S 30% commission deduction.

USASIGNINGS.COM will pay the notary 70% of their fee immediately after the signing unless the signer will be paying by cash at which point the notary receives the payment and forwards 30% of the fee to USASIGNINGS.COM. In Loan Signings, the notary will be paid after Escrow releases the checks. These checks usually take 1-3 weeks to be released via Escrow. USASIGNINGS.COM will pay the notary immediately upon receiving the signing fee, but not later than 30 days after the signing has been completed. Typical Loan signings Fees are from $100-125 after USASIGNINGS.COM’s commission.

Payment will be established electronically. Each Notary must have an active paypal account to be paid by USASIGNINGS.COM.

The newly commissioned Notary will start receiving jobs only after following and completing all steps in becoming an official notary public. MYNOTARYCLASS.COM will guide the Notary Applicant through the entire Notary Process.

The official newly commissioned notary will commence receiving assignments the week after they become officially commissioned with the state. MYNOTARYCLASS.COM will ensure that the notary applicant follows all steps in getting their license in a timely manner.

USASIGNINGS.COM counts 5 business days as one week.

This agreement is valid for 1 year starting the Monday after the Newly Notary completes all steps in becoming a Notary Public. For example If the Notary becomes an official notary on Wednesday January 10th, 2018, then the Newly commissioned notary will commence receiving assignments on Monday January 15th, 2018, and will continue to receive at least one notary assignment per week until January 15th, of 2019.

The estimated value of this agreement is set at minimum of $2,600 before USASIGNINGS.COM 30% commission deduction or $1,820.00 after USAISIGNINGS.COM’s 30% commission deduction. $1,850 is the minimum net payment to reach the notary guaranteed under this agreement. However this is the minimum and figures will most likely be higher. These were calculated with the minimum notary assignment fees of $50.00, however very often clients pay more, anywhere between $50.00-200.00. Yearly figures for a newly commissioned Notary guaranteed under this agreement may range anywhere between $1,850.00 - $8,000.00.

If USASIGNINGS.COM Fails to provide the mandatory weekly notary assignment, the Notary Assignment rolls over to the following week and the assignment is owed to the notary. If the 1 year agreement ends before USASIGNINGS.COM can provide all assignments guaranteed under this agreement, then USASIGNINGS.COM is still responsible for providing all assignments guaranteed under this agreement in the amount of 52 assignments,( one per week). This agreement is valid until USASIGNINGS.COM provides all 52 assignments guaranteed under this agreement. USA SIGNINGS guarantees to provide a minimum of 52 notary assignments under this agreement.

USASIGNINGS.COM holds the right to terminate this agreement if the notary solicits and promotes services directly to clients he/she met through USASIGNINGS.COM
We already have the Notaries ID information as well as Notary certificate and Surety Bond information.
Before being assigned Notary Jobs, the Newly commissioned Notary must Provide the following:

AGREEMENT FOR NOTARY SIGNINGS
This Agreement is made between USA SIGNINGS, having its principal place of business at 240 Woodlawn Ave, Suite #5, Chula Vista, CA 91910, and the applicant ("Notary"), having a principal place of business as specified in the application.

Independent Notary Status. It is the express intention of the parties that Notary is an independent Notary and not an employee, agent, joint venturer or partner of USA SIGNINGS. Nothing in this agreement shall be interpreted or construed as creating or establishing the relationship of employer and employee between USA SIGNINGS and Notary or any employee or agent of Notary. Both parties acknowledge that Notary is not an employee for state or federal tax purposes. Notary shall retain the right to perform services for others during the term of this agreement.

Services to be Performed by Notary. Notary agrees to perform notary services as an independent contractor for a fee to be agreed upon by the parties. Notary shall have the sole right to decline or accept an assignment.

Method of Performing Services. Notary will determine the method, details, and means of performing the above-described services. USA SIGNINGS, shall have no right to, and shall not, control the manner or determine the method of accomplishing Notary's services except as to deadlines and specific instructions of USA SIGNINGS clients.

Expenses. Notary shall be responsible for all costs and expenses incident to the performance of services for USA SIGNINGS, including but not limited to, all costs of supplies provided by Notary, all fees, fines, licenses, bonds or taxes required of or imposed against Notary and all other of Notary's costs of doing business. USA SIGNINGS shall be responsible for no expenses incurred by Notary in performing services for USA SIGNINGS.

Indemnification of Liability. Notary shall indemnify and hold USA SIGNINGS harmless against any and all liability imposed or claimed, including attorney's fees and other legal expenses, arising directly or indirectly from any act or failure of Notary or Notary's assistants, employees or agents, including all claims relating to the injury or death of any person or damage to any property.

Taxes. Notary is responsible for paying all required state and federal taxes and, in particular, USA SIGNINGS will not withhold FICA (Social Security) from Notary's payments, USA SIGNINGS will not make state or federal or unemployment insurance contributions on Notary's behalf; USA SIGNINGS will not withhold state or federal income tax from payment to Notary; USA SIGNINGS will not make disability insurance contributions on behalf of Notary; and USA SIGNINGS will not obtain worker's compensation insurance on behalf of Notary.

Governing Law. This agreement will be governed by and construed in accordance with the laws of California.
USA SIGNINGS, CONTRACTOR AGREEMENT FOR LOAN SIGNINGS
I.This agreement
This agreement is made between USA SIGNINGS, and or any of its affiliates whether they are directly associated as business partners or as third party vendors, located at 240 Woodlawn Ave, Chula Vista, ca 91910, herein after referred to as 1st Party and the undersigned contractor, (hereinafter referred to as "Contractor"). In consideration of the mutual promises, contained herein, the parties agree as follows: I. Services On each individual signing assigned to the Contractor by USA SIGNINGS, USA SIGNINGS shall provide the Contractor with the required loan documents and instructions via electronic delivery, courier, or overnight delivery. Contractor is hereby retained as an independent contractor for the purpose of monitoring completion and execution of the loan documents by all parties to the transaction and witnessing and/or notarizing signatures on the loan documents as required. Contractor shall comply with any or all instructions provided by lender and USA SIGNINGS. Following the signing, Contractor shall forward all documents required by the lender and/or USA SIGNINGS in the manner specified by USA SIGNINGS for approval and return the completed loan package to the lender and or USA SIGNINGS, as specified in the instructions, within the specified time frame set forth in the instructions.
II. Relationship of the Parties By virtue of this Agreement
It is agreed that USA SIGNINGS and Contractor shall not be considered partners or joint ventures, and that Contractor, has no authority to and cannot act as an agent or employee of USA SIGNINGS in Contractor's performance of services under this Agreement. Contractor shall act in all matters hereunder as an independent contractor. It is expressly understood that Contractor will not solicit and/or accept any assignments from any client introduced or provided to contractor by USA SIGNINGS without the involvement or knowledge of USA SIGNINGS. USA SIGNINGS will be compensated for any signings contractor accepts from the unauthorized solicitation of said clients of USA SIGNINGS. Due to the marketing expense USA SIGNINGS incurs for said business, any and all Contractors soliciting business from our clients will no longer be able to perform signings for USA SIGNINGS.
III. Courier/Overnight Delivery Charges
Payment of all courier and overnight charges shall be the responsibility of USA SIGNINGS and/or the lender. However, any courier or overnight delivery charges resulting from the Contractor's negligence in performing services under this Agreement shall be paid by Contractor.
IV. Representation, Warranties, and Indemnities
Contractor warrants that Contractor is and, at all times during the term of this Agreement, shall remain duly licensed or commissioned, as applicable, as a notary public in the jurisdictions(s) where Contractor will be performing Contractor's duties under this Agreement. Contractor recognizes that its timely performance of services is essential to the continued, efficient operations of USA SIGNINGS business. Contractor warrants that it will not respond or take an order to perform services hereunder unless Contractor can perform the required services in the time frame specified by USA SIGNINGS. Contractor is required to remain in contact with USA SIGNINGS regarding the status of each active job order assigned to Contractor. Contractor agrees to defend, indemnify and hold harmless USA SIGNINGS and its employees and agents from any and all claims and damages of every kind, of injury to or death of any person or persons and for damages to or loss of property, arising out of or attributed, indirectly or directly, to services performed under this Agreement. This hold harmless shall include all costs of courts, expenses of suit and attorney's fees, in addition to any recovery whether by settlement or trial on the merits.
V. Non-representation
Contractor shall not interpret or give advise or counsel to any party before, during or after any signing concerning (i) the loan transaction (ii) the execution by any party of any document, or (iii) any document contained in the loan package. Contractor agrees to provide services under this agreement until this agreement is terminated pursuant to the terms herein provided. Confidentiality: Contractor shall at all times maintain as confidential any information provided by USA SIGNINGS to Contractor in the course of its performing services under this Agreement and Contractor shall not divulge and such information to any party without USA SIGNINGS prior consent, except pursuant to a validly issued court subpoena or order. Confidential information provided by USA SIGNINGS shall be used by Contractor, if at all, solely in the performance of its services under this Agreement and, upon written request of USA SIGNINGS at or after termination of this Agreement, shall be returned by Contractor to USA SIGNINGS. Notices: Any notice, demand, or communication that either party desires or is required to give to the other party in connection with this Agreement shall be in writing and shall be either served personally or sent by prepaid United States Mail (except for termination of notices, which shall be by personal services or by registered or certified mail, postage prepaid) addressed to the other party at the address set forth on page one of this Agreement. Entire Agreement and Amendment: This Agreement supersedes any and all prior agreements, representations and understandings of the parties, written or oral, except as specifically provided herein. No addendum, supplement, modification or amendment of this Agreement shall be binding unless executed in writing by both parties. If either USA SIGNINGS or Contractor fails to perform its obligations under this Agreement in whole or in part as a consequence of acts of God, fire, earthquake, flood, explosion, public utility failure, accident, strikes, embargoes, war, nuclear disaster, or riot, such failure to perform shall not be considered a breach of this Agreement during the period of such disability. In any such event, the disabled party shall use its best efforts to meet its obligations under this Agreement. The disabled party shall promptly and in writing advise the other party if it is unable to perform due to a force major event, the expected duration of such inability to perform, and of any developments that appear likely to affect the ability of that party to perform an of its obligations hereunder in whole or in party. Governing Laws and Venue: This Agreement shall be governed by and construed in accordance with the laws of the State of California. By acceptance the contractor agrees to the terms set forth by this agreement.
